Woodside Energy Group has announced that Mark Cutifani CBE will resign as a non-executive Director of the company, effective 13 September 2026.
Cutifani joined the Woodside Board in March 2026, taking up the role of independent non-executive Director on 19 March.
He was subsequently elected by shareholders at the company’s Annual General Meeting on 23 April 2026.
During his tenure, he served on three of the Board’s key committees: Audit & Risk, Sustainability, and Nominations & Governance.
Cutifani brings more than four decades of experience in the global mining and resources sector.
He spent over nine years as chief executive of Anglo American, where he led a significant restructuring of the diversified miner’s operations, and previously served as chief executive of AngloGold Ashanti, where he oversaw a turnaround strategy.
He also completed a nine-year term as a non-executive director of TotalEnergies.
Cutifani holds a Bachelor of Engineering (Honours) from the University of Wollongong and was appointed a Commander of the Order of the British Empire in the 2024 UK King’s Honours List for his contributions to global mining investment.
In explaining his decision to step down, Cutifani said it followed careful consideration of his broader commitments.
“My decision has been made for personal reasons, as I reassess my global professional commitments and identify where I can best devote my time and personal contributions,” he said, adding that he wished the Woodside team continued success.
Woodside Chair Richard Goyder AO thanked Cutifani for his contribution to the Board.
“Although it is disappointing to be losing a director such as Mark with a proven track record of creating and protecting value through periods of transformation and performance improvement, we respect and understand his decision,” said Goyder, wishing him well in his future endeavours.
Cutifani’s departure comes at a time of broader change on Woodside’s Board and executive team.
Elizabeth Westcott was appointed Chief Executive Officer and Managing Director in March 2026, succeeding Meg O’Neill, who left the company to take up the top role at BP.
The Board has also seen other recent changes, including the cessation of Ian Macfarlane as a Director in April and the resignation of Tony O’Neill as a non-executive Director, effective July 2026.
Woodside has not yet announced any details regarding a replacement for Cutifani’s vacated Board seat.
